Overview

My practice includes representing clients in corporate, transactional, tax planning, tax controversy, and estate planning matters. I have advised clients on a myriad of different projects and related issues, including:
  • corporate governance, tax exemptions, asset protection, capitalization, incorporations, formations, conversions, dissolutions, business succession, business acquisitions, and divestitures, including drafting asset acquisition agreements, assignment and assumption agreements, stock purchase agreements, membership interest purchase agreements, plans of merger, shareholders’ agreements, promissory notes, and security agreements;
  • negotiating various complex commercial agreements, including asset purchase agreements, joint venture agreements, stock purchase agreements, real estate purchase agreements, and membership interest purchase agreements; conducting due diligence for various corporate transactions; preparing ancillary documents, including nondisclosure agreements, mutual confidentiality agreements, and non-compete agreements;
  • tax audits in front of the Internal Revenue Service, the Georgia Department of Revenue, and the Alabama Department of Revenue addressing income tax, sales and use tax, and payroll tax issues;
  • tax litigation involving the proper treatment of an employee benefit plan utilizing universal life insurance;
  • charitable giving strategies, including placement of conservation easements and the use of charitable lead and remainder trusts, as well as utilizing private foundations; and
  • utilizing various estate planning strategies to reduce income, estate, and gift tax exposure.
